- 短期目標：完成一年 Hypercerts 社會實驗
- 測試並決定是否持續 Venture Studio 形式
- 是否延長取決於實驗結果
- STUDIO 的成立原因不是盈利，而是為公共財找到新的可能，但參與者應該被合理公平對待，至於什麼是合理公平我們得一起討論

## How are partners compensated? The hypercerts experiment of STUDIO?

Scenario 1 : Minimize LLC role, only do what's necessary for execution, don't fundraise, pay with Hypercerts
- Fixed hypercerts amount to core team
- Task-based hypercerts distribution to guerrilla contributors

Scenario 2 : Mix wage and hypercerts, requires fundraising
- Fixed hypercerts & salaries to core team
- Task-based hypercerts distribution to guerrilla contributors

Scenarion 3 : No hypercerts as payment to core team, pay with salaries only, requires massive fundraise effort & time
- Fixed salaries to core team
- Task-based fiat payment to guerrilla contributors

**Problem 1 : Is making STUDI0 a part of the experiment proper? does it affect funders willingness? On the other hand, does it affect anything if we do not? One option is to compartmentalize funding, ex. Only target specific tech funders for STUDI0 funding, which is a separate pool**

#### 設立公司可能方向 by Liying (以下是 1/12 與尚諺會計師事務所討論的筆記)
1. 組織型態
- 協會 v. 公司：未必 for non-profit purpose，初期成員也未必包括全體 contributors，與協會目的和功能不盡相符，建議設立公司
- 境外公司 v. 台灣公司：初期交易對象 (funders 和 projects) 多在台灣，沒有設立境外公司的需要 (境外公司設立與維護費用較高，開設銀行帳戶目前需要一兩個月)，建議設立台灣公司
- 股份有限公司 v. 有限公司：過渡性質，沒有複雜的股權結構，建議設立有限公司

2. 流程預估
- 台灣公司設立一次性服務費用：NT$13,000+，約需 2~3 週
- 記帳 (包括 cash 和 crypto)：每月 NT$25,000

3. 稅務負擔
- (A) 考量 funders 的資金性質，不是捐款、也不是股權投資，可能定義為「商品 (影響力證書 NFT) 的買賣」。但 funders 資金是先進到共同 pool，不是銀貨兩訖，可能認列為「預付款」
- (B) 分配給 projects 的資金性質，則要看實際個案情境，project 必須認列為某種收入並開立憑證
- (A) 涉及 5% 營業稅
- (A) - (B) 涉及營利事業所得稅

- 是否設立台灣有限公司？或是有機會與豆泥的社會資本公司、或 Stamford 的 KaliDAO 合作？

- 對內運營與決策模式、對外權限與代表性 (還有很瑣碎的，例如開設 crypto 法人戶可能需要代表人 KYC、是否運用多簽錢包...等)

- It’s clear that we won’t be starting the program in Feb, several items to hash out before launch
- Confirmed participating projects : The listed projects were all interested, but we need to get to a final list, possibly with 3 projects in education, 3 in journalism, and 1 to 2 independent experiments
- Legal structure at da0, building a team for the established LLC. We already have individuals contributing to the cause, but to have a stable team to support the effort, we need a better structure

- Funds to be raised
- To determine the total amount of funds to be raised, we are in the process of confirming participating projects as well as our legal structure. Ideally on average each project should get between 70~100K USD for it to be a meaningful amount, uneven distribution is of course completely acceptable. This means with 5 projects (minimum), we should raise at least 350K USD, with 8 projects (maximum), we should raise at least 560K USD.
